Terms of Service

1. Introduction

Welcome to Sedna. These Terms of Service ("Terms") govern your access to and use of the Sedna platform, services, and website (collectively, the "Service") provided by SednaOS Inc. ("Sedna," "we," "us," or "our"), a corporation registered in Ontario and federally in Canada.

By accessing or using the Service, you agree to be bound by these Terms. If you are using the Service on behalf of an organization, you represent and warrant that you have the authority to bind that organization to these Terms, and references to "you" will refer to that organization.

2. Eligibility

You must be at least 18 years of age to use the Service. By using the Service, you represent and warrant that you meet this age requirement and have the legal capacity to enter into these Terms.

3. Account Registration and Security

3.1 Account Creation

To access the Service, you must create an account by providing accurate, complete, and current information. You are responsible for maintaining the confidentiality of your account credentials and for all activities that occur under your account.

3.2 Account Security

You agree to:

• Notify us immediately of any unauthorized use of your account
• Use strong passwords and enable any available security features
• Not share your account credentials with third parties
• Ensure all information provided remains accurate and up-to-date

3.3 Account Responsibility

You are responsible for all activity conducted through your account, whether or not authorized by you.

4. Service Description

Sedna provides AI governance and security solutions that enable organizations to monitor, control, and secure AI tool usage across their infrastructure. This includes:

• Real-time monitoring of AI interactions
• Policy enforcement and compliance controls
• Shadow AI discovery and reporting
• Data redaction and blocking capabilities
• Compliance audit trails and reporting

5. Free Trial

5.1 Trial Period

We offer a 30-day free trial of the Service. During the trial period, you have access to the full features of your selected plan without charge.

5.2 Trial Limitations

Each individual or organization is limited to one free trial. You may not create multiple accounts to circumvent this limitation.

5.3 Conversion to Paid Subscription

At the end of the trial period, you may choose to subscribe to a paid plan. If you do not subscribe, your access to the Service will be terminated, though we may retain certain data as described in our Privacy Policy.

6. Subscription and Payment

6.1 Subscription Plans

The Service is offered through various subscription plans as described on our website. Pricing, features, and terms for each plan are specified at the time of purchase.

6.2 Payment Terms

• Subscriptions are billed in advance on a monthly or annual basis, as selected
• Payment is processed through our third-party payment processor, Stripe
• All fees are in US dollars unless otherwise stated
• Fees are non-refundable except as required by law or as expressly stated in these Terms

6.3 Price Changes

We reserve the right to change our pricing with at least 30 days' notice. Price changes will apply to subsequent billing periods and will not affect the current billing period for existing subscribers.

6.4 Automatic Renewal

Your subscription will automatically renew at the end of each billing period unless you cancel before the renewal date. You authorize us to charge your payment method for the renewal.

6.5 Cancellation

You may cancel your subscription at any time. Cancellation will be effective at the end of the current billing period, and you will retain access to the Service until that time.

6.6 Failed Payments

If a payment fails, we may suspend or terminate your access to the Service. We will attempt to notify you and provide an opportunity to update your payment information.

7. Use of the Service

7.1 License Grant

Subject to these Terms, we grant you a limited, non-exclusive, non-transferable, revocable license to access and use the Service for your internal business purposes.

7.2 Acceptable Use

You agree not to:

• Violate any applicable laws or regulations
• Infringe upon the intellectual property rights of others
• Transmit viruses, malware, or other malicious code
• Attempt to gain unauthorized access to the Service or related systems
• Interfere with or disrupt the Service or servers
• Use the Service to harass, abuse, or harm others
• Reverse engineer, decompile, or disassemble the Service
• Use the Service for any illegal or unauthorized purpose
• Scrape, spider, or crawl the Service
• Remove or modify any proprietary notices or labels

7.3 Monitoring and Enforcement

We reserve the right to monitor use of the Service and to investigate and take appropriate action against users who violate these Terms, including suspension or termination of access.

8. Data and Privacy

8.1 Customer Data

You retain all rights to any data, content, or information you submit to or through the Service ("Customer Data"). You grant us a license to use, process, and store Customer Data solely to provide and improve the Service.

8.2 Data Security

We implement reasonable security measures to protect Customer Data. However, no system is completely secure, and we cannot guarantee the absolute security of your data.

8.3 Data Processing Location

Depending on your deployment configuration, Customer Data may be processed and stored in the United States, Canada, or the European Union. You may select your preferred data region:

• US East, US West, US Central
• Canada East
• EU Frankfurt

For self-hosted instances, data remains within your infrastructure.

8.4 Privacy Policy

Our collection and use of personal information is governed by our Privacy Policy, which is incorporated into these Terms by reference.

9. Intellectual Property

9.1 Ownership

The Service, including all software, designs, text, graphics, and other content, is owned by SednaOS Inc. and is protected by copyright, trademark, and other intellectual property laws.

9.2 Feedback

If you provide us with feedback, suggestions, or ideas about the Service, we may use them without any obligation to you.

9.3 Trademarks

"Sedna," the Sedna logo, and other marks are trademarks of SednaOS Inc. You may not use these marks without our prior written permission.

10. Third-Party Services

The Service may integrate with or contain links to third-party services, websites, or applications. We are not responsible for the content, privacy practices, or terms of service of any third-party services. Your use of third-party services is at your own risk and subject to their respective terms.

11. Warranties and Disclaimers

11.1 Service Availability

We strive to maintain high availability of the Service but do not guarantee uninterrupted or error-free operation. The Service may be unavailable due to maintenance, updates, or factors beyond our control.

11.2 Disclaimer of Warranties

THE SERVICE IS PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, EITHER EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, NON-INFRINGEMENT, OR SECURITY. WE DO NOT WARRANT THAT THE SERVICE WILL BE UNINTERRUPTED, SECURE, OR ERROR-FREE, OR THAT DEFECTS WILL BE CORRECTED.

11.3 No Professional Advice

The Service is not intended to provide legal, compliance, or security advice. You should consult with appropriate professionals regarding your specific compliance and security requirements.

12. Limitation of Liability

12.1 Liability Cap

TO THE MAXIMUM EXTENT PERMITTED BY LAW, OUR TOTAL LIABILITY TO YOU FOR ALL CLAIMS ARISING OUT OF OR RELATING TO THESE TERMS OR THE SERVICE SHALL NOT EXCEED THE TOTAL AMOUNT YOU PAID TO US IN THE TWELVE (12) MONTHS PRECEDING THE EVENT GIVING RISE TO THE CLAIM.

12.2 Exclusion of Damages

TO THE MAXIMUM EXTENT PERMITTED BY LAW, WE SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, OR ANY LOSS OF PROFITS, REVENUE, DATA, OR USE, WHETHER IN AN ACTION IN CONTRACT, TORT, OR OTHERWISE, EVEN IF WE HAVE BEEN ADVISED OF THE POSSIBILITY OF SUCH DAMAGES.

12.3 Exceptions

Some jurisdictions do not allow the exclusion or limitation of certain warranties or damages. In such jurisdictions, our liability will be limited to the greatest extent permitted by law.

13. Indemnification

You agree to indemnify, defend, and hold harmless SednaOS Inc., its affiliates, officers, directors, employees, and agents from and against any claims, liabilities, damages, losses, costs, or expenses (including reasonable attorneys' fees) arising out of or relating to:

• Your use of the Service
• Your violation of these Terms
• Your violation of any rights of another party
• Your Customer Data

14. Term and Termination

14.1 Term

These Terms commence when you first access the Service and continue until terminated by either party.

14.2 Termination by You

You may terminate these Terms at any time by canceling your subscription and ceasing use of the Service.

14.3 Termination by Us

We may suspend or terminate your access to the Service at any time, with or without cause, with or without notice. We may terminate immediately if you breach these Terms.

14.4 Effect of Termination

Upon termination:

• Your license to use the Service will immediately cease
• You must cease all use of the Service
• We may delete your Customer Data in accordance with our data retention policies
• Sections that by their nature should survive termination will survive, including but not limited to Sections 9, 11, 12, 13, and 16

14.5 Data Export

Prior to termination, you are responsible for exporting any Customer Data you wish to retain. We may provide reasonable assistance with data export upon request, subject to applicable fees.

15. Changes to Terms

We reserve the right to modify these Terms at any time. We will provide notice of material changes by:

• Posting the updated Terms on our website
• Updating the "Last Updated" date at the top of these Terms
• Sending notice to the email address associated with your account

Your continued use of the Service after such notice constitutes acceptance of the updated Terms. If you do not agree to the updated Terms, you must stop using the Service.

16. General Provisions

16.1 Governing Law and Jurisdiction

These Terms shall be governed by and construed in accordance with the laws of the Province of Ontario and the federal laws of Canada applicable therein, without regard to conflict of law principles.

For customers located in:

• Canada: Any disputes shall be subject to the exclusive jurisdiction of the courts of Ontario, Canada.
• United States: Any disputes shall be resolved in accordance with Ontario law, and parties consent to the jurisdiction of Ontario courts or, at our option, courts in your jurisdiction.
• European Union: Nothing in these Terms affects your statutory rights as a consumer under EU law. Disputes may be subject to the jurisdiction of your local courts as provided by applicable EU regulations.

16.2 Dispute Resolution

Before initiating any legal proceeding, you agree to first contact us at legal@sedna.sh to attempt to resolve the dispute informally.

16.3 Entire Agreement

These Terms, together with our Privacy Policy and any other policies referenced herein, constitute the entire agreement between you and SednaOS Inc. regarding the Service and supersede all prior agreements and understandings.

16.4 Severability

If any provision of these Terms is found to be invalid or unenforceable, the remaining provisions will remain in full force and effect.

16.5 Waiver

Our failure to enforce any provision of these Terms will not constitute a waiver of that provision or any other provision.

16.6 Assignment

You may not assign or transfer these Terms or your rights under these Terms without our prior written consent. We may assign these Terms without restriction.

16.7 Force Majeure

We shall not be liable for any delay or failure to perform resulting from causes beyond our reasonable control, including but not limited to acts of God, war, terrorism, riots, embargoes, acts of civil or military authorities, fire, floods, accidents, pandemics, strikes, or shortages of transportation facilities, fuel, energy, labor, or materials.

16.8 No Third-Party Beneficiaries

These Terms do not create any third-party beneficiary rights.

16.9 Export Compliance

You agree to comply with all applicable export and import laws and regulations. You represent that you are not located in, under the control of, or a national or resident of any country subject to comprehensive sanctions.

16.10 Language

These Terms are prepared in English. Any translation is provided for convenience only. In the event of any conflict between the English version and a translated version, the English version shall prevail.
